NocNok Terms of Use

NocNok is a membership platform that helps connect fans with creators they love. Our mission is to put creators first, and these terms aim to do that. We know terms can be long and dull, so we’ve added short summaries before each section to make them easier to digest. These summaries are for convenience only; please read the full text for the legally binding version.

Welcome to NocNok

To summarize: By using NocNok you agree to these terms and our policies.

These are NocNok’s Terms of Use, and they apply to all users of the NocNok platform. “We,” “our,” and “us” refer to Lifepilot Technology INC. “NocNok” refers to this platform and the services we offer, including the NocNok iOS app, the NocNok Android app, NocNok APIs, NocNok embeds, nocnok.ai, nocnok.me, and NocNok’s other websites. By using NocNok, you agree to these terms and to other policies we post, including the Privacy Policy, Community Guidelines, and Benefit Guidelines. For information about our data practices, please see our Privacy Policy and Cookie Policy. We collect, use, and share information in line with those policies.

Your account

To summarize: You must be at least 13 years old to use NocNok. You are responsible for your account’s security and activity.

When you create an account, you must provide accurate information in good faith and keep it updated. To create an account or use NocNok, you must be at least 13 years old and old enough to consent to the processing of your personal data in your country (in some countries, a parent or guardian may consent on your behalf). You must be at least 18 years old or have your parent’s or legal guardian’s permission to have a creator page on NocNok or to purchase an offering or subscription on NocNok. You must be at least 18 years old to subscribe to an Adult/18+ creator or purchase an offering related to such a creator. You are responsible for anything that occurs when anyone is signed in to your account and for your account’s security. Please contact us immediately if you believe your account is compromised. Abusive conduct

To summarize: Be responsible. Don’t violate our terms or policies.

You are responsible for all activity on your account. If you violate our terms or policies, we may suspend or terminate your account. Don’t do anything illegal, abusive towards others, or that misuses NocNok technically (for example, using NocNok as a storage platform), or exploits NocNok in unintended ways that harm us or the community. If you earn money on NocNok, we may assess risks based on what you do with those funds and, as a result, review relevant activity outside NocNok. See our Community Guidelines and Security Policy for examples. If you find new ways to harm NocNok or our community, we may take steps to prevent it.

All about being a creator

To summarize: Creators launch a page on NocNok to engage patrons who buy offerings or memberships. Read the details on payments, fees, taxes, and restrictions.

Creator Page

To become a creator, launch your page to start your offering or membership. Joining NocNok means joining the NocNok community. Use creator tools to showcase your work, engage with the community, and offer merchandise via our merch service. Memberships are for your most passionate fans. On NocNok, you can offer patrons special benefits they value—including extra access, merch, exclusive creations, and engaging community experiences. In return, you receive loyal support and revenue from offerings and memberships purchased on NocNok.

Payments

As a creator, you may offer one-time purchases and automatically renewing memberships on NocNok. Where supported, we convert prices to a patron’s local currency using a conversion rate determined at our discretion. Where supported and subject to your controls, NocNok may automatically adjust prices to account for fees imposed by purchase platforms (e.g., App Store). We generally handle payment issues like fraud, chargebacks, and dispute resolution, though some platforms may handle issues for purchases made through them.

We aim to provide timely access to funds you’ve earned on NocNok based on the level/type of NocNok service you select. Purchases made on certain platforms and different service levels may have different timelines for funds to become accessible and/or may require reserves. You may occasionally experience delays.

We may block or withhold access to funds for violations of our terms or policies, or for compliance reasons (including collecting tax reporting information). We try to communicate reasons promptly. We may block payments we deem fraudulent to protect creators. Refunds and chargebacks can create a negative balance; associated fees from NocNok or purchase platforms may not be refunded. If your balance becomes negative, we may recover funds from future payments.

Adult/18+ creators must agree to additional requirements: verify that you are over 18, verify each person depicted is over 18, and obtain written consent from each participant. A consent template is in our Help Center. You agree to promptly provide proof of age verification and consent if requested.

Fees

Creators pay fees associated with offerings and paid memberships on NocNok. Current details are in our Help Center and may change with notice. Fees vary by service level/type, including paid membership service, free membership service, and one-time purchases:

Platform fee: a flat fee and/or percentage of successfully processed payments. If you use merch, you also pay the merchandise cost based on quantity/SKUs.
Feature-specific fees: fees tied to particular NocNok features, flat and/or percentage-based.
Payment processing fee: percentage plus flat fee per successful payment (covers recurring billing, recovering declined payments, fighting fraud).
Payout fee: for transferring money to your payout method; varies by method.
Currency conversion fee: percentage of successfully processed payments made in a currency other than your payout currency.

You can view fees for offerings and subscriptions in your creator dashboard (note: payout fees may be listed separately). For purchases on certain platforms (like the App Store), those platforms may impose fees; where supported, NocNok may automatically adjust prices to account for those fees.

“Founding creators” are creators whose pages were live before May 7, 2019 and who have not made disqualifying changes since. Founding creators may have a legacy fee structure per our Help Center.

If a patron pays in a currency different from their payment instrument’s currency, their financial institution may charge a foreign transaction fee. NocNok does not apply or receive any portion of this fee.

Even if a patron pays in the same currency as their payment instrument, if the payment is processed in a different country, the financial institution may charge a foreign transaction fee. NocNok does not apply or receive any portion of this fee, though our payment processing choices may impact whether this fee applies.

Tax

To satisfy tax obligations, we collect tax identification information and, in certain cases, report information and earnings to tax authorities as required. For example, if you are in the United States or are a U.S. citizen who has earned $600 or more, NocNok will issue a Form 1099-K at year end. For 1099-K purposes, we treat all creator earnings as sales of goods or services. You are responsible for reporting income, withholding, and other taxes resulting from money earned on NocNok. See our Tax Help Center.

We are also responsible for transactional taxes globally, including VAT, GST, and other local service or sales taxes outside the U.S., and state sales taxes within the U.S. In locales where we must collect transaction tax from patrons, invoices will include tier/custom payment amount plus applicable tax, which is charged in addition to the price based on benefits you indicate you will offer. We use the benefit categories you assign to calculate, collect, and remit applicable taxes. You are responsible for categorizing benefits in good faith, using available tools, and providing accurate information when engaging with tier tools and sales tax weighting tools. Once settled, the tax amount is automatically deducted and remitted to the applicable authority. You can view the transaction tax portion of payments on your earnings details page.

Amounts payable under this agreement between a creator and NocNok may include VAT or sales tax where applicable. You agree to provide information and documents for accurate tax determination and compliance, as requested.

Restrictions

We don’t allow creations or benefits that violate our terms or policies. See our Community Guidelines and Benefit Guidelines. In short, we don’t allow:

illegal creations or benefits;
creations or benefits that are abusive towards other people;
creations or benefits that are misleading or deceptive;
creations or benefits that use others’ intellectual property without permission (unless protected as fair use);
creations or benefits with real people engaging in sexual acts.

If you are an Adult/18+ creator, certain features associated with your chosen NocNok service level/type may be unavailable.

If your fans include people under 18, please remind them that they need a parent’s or guardian’s permission to purchase offerings or memberships on NocNok, and that those under 13 cannot use NocNok. We are not required to allow any particular person or group to access an offering, be a patron, or otherwise use NocNok services.

As a creator, you must keep patron data safe and agree to our Data Processing Agreement (DPA), sometimes referred to as the Creator Privacy Promise.

An account is tied to your creative output and cannot be sold or transferred for use by another creator.

We are constantly experimenting with features to improve NocNok and may add, remove, or test features with a subset of creators. Access is not guaranteed and may not be under your control. We may enable/disable early-access, beta, or test features at our sole discretion. These features may have additional restrictions and limitations as described in our Help Center.

All about being a patron

To summarize: A patron subscribes and/or makes purchases on NocNok, possibly with special benefits from creators. Patrons can interact with creators via tools we provide and engage with the broader NocNok community.

As a patron, you support creators and may receive benefits like shoutouts, exclusive creations, or merchandise. You pay on a one-time or automatically renewing subscription basis; NocNok is the billing entity for these charges. If your primary payment method fails and you have backup methods configured, we may charge the backups per your configuration.

The timing and amount of each subscription or offering depends on what you select and the creator you support. You can see details before purchasing and view your active subscriptions and billing history.

To become a patron, subscribe or purchase a paid subscription or other offering on NocNok. Subject to these terms and full payment of all applicable charges, where a subscription/offering includes access to a creator’s creations, you receive a non-exclusive, non-transferable, non-sublicensable, revocable, limited license to access and view those creations for your private, personal, non-promotional, non-commercial use. Access may change or end as described below.

In addition to one-time purchases, NocNok offers three types of paid, automatically renewing subscriptions: monthly (you pay per month), per-creation (you pay per creator post, with an optional monthly cap), and annual (you pay a year up front, typically at a discount). Not all creators offer all types; current options are shown before you subscribe.

Each subscription renews monthly (for monthly and per-creation) or annually (for annual) until you cancel in your membership settings. If there’s a free trial, then unless you cancel before it ends, you’ll be charged once the trial ends and the paid subscription begins. Your recurring charge date may vary for reasons like timezone differences or month length.

Membership prices may increase with notice, enabling creators to adjust for costs, benefits, or other changes, and enabling NocNok to update currency conversion rates. Applicable tax may increase without notice and is outside our control.

You may cancel your free trial or recurring payments at any time. For monthly and annual memberships, canceling or lowering your tier affects the next recurring charge. For per-creation memberships, lowering your tier affects the next per-creation charge; canceling takes effect before the next per-creation charge. Annual memberships may be canceled or increased, but not lowered; increasing to a higher tier in an annual membership takes effect in the current term, and prior payments may be credited toward the upgrade.

Canceling or dropping below the access threshold may remove your access to benefits, including patron-only posts. You may also lose access if, for example, your payment method fails, we terminate your account, a creator blocks you, a creator stops using NocNok for offerings/memberships, deletes their account, changes access settings, removes posts or offerings, we remove the creator, we change access settings, or we remove content. We are not required to allow you to access an offering or be a patron of any creator.

Memberships and offerings vary. We have limited control over specific benefits. We attempt to screen for fraudulent creator pages but cannot guarantee identity or claims. Please report suspicious pages to help keep NocNok safe.

Where required, tax (e.g., VAT or sales tax) is added to your charge. Except in limited cases, tax is shown before purchase. NocNok remits collected tax to the appropriate authority. Because tax depends on your location, please keep your location accurate.

If you pay in a currency different from your payment instrument’s currency, your financial institution may charge a foreign transaction fee. NocNok does not apply or receive any portion of this fee.

We test features to improve NocNok and may add, remove, or test features with a subset of patrons. Access is not guaranteed and may be controlled by us at our discretion. Some features may have additional restrictions described in our Help Center.

Refunds. Our general policy is not to provide refunds (including if you lose access to offerings or benefits as described above), though we may allow exceptions at our sole discretion. Purchases made through certain platforms (e.g., App Store) may require contacting those platforms for refund requests.

NocNok’s role

To summarize: We review pages and posts, and investigate reports to identify potential violations of these terms and our policies.

We review some pages and posts to enforce these terms and our policies, including Community Guidelines and Benefit Guidelines, and we investigate reported issues. Investigations may take time and may include reviewing relevant off-platform activity, primarily because we may be exposed to risk based on how funds earned on NocNok are used.

We aim to work with creators and patrons to resolve issues and allow continued use of NocNok. We may terminate accounts when necessary to protect creators, patrons, NocNok, or the broader community.

NocNok may remove creators or patrons from participating in annual memberships. Removing a creator stops further annual purchases for that creator. Removing a patron prevents them from purchasing further annual memberships. This does not automatically remove the creator or patron from NocNok unless there is an independent reason.

Please report potential Community Guidelines violations via our reporting tools.

As a global company based in the United States with operations elsewhere, we comply with economic sanctions and trade restrictions (e.g., OFAC). We cannot participate in transactions involving designated people, places, or items. See our Sanctions Policy.

Account deletion

To summarize: You can delete your account. We can disable or terminate accounts at our discretion.

You can permanently delete your account at any time via our Privacy Center.

We may terminate or suspend your account at any time at our discretion. We may cancel memberships and remove descriptions, posts, offerings, or benefits. You may not bring a claim against us for actions taken on another person’s account. If you do, you are responsible for damages, including attorneys’ fees and costs. These terms remain in effect even if you no longer have an account.

Your creations

To summarize: Creators and patrons keep ownership of their creations and posts, but grant NocNok licenses to operate the service. Post only content you have permission to use.

Creators and patrons keep ownership of their works, but we need licenses to operate NocNok effectively. By posting creations or other content on NocNok, you grant us a royalty-free, perpetual, irrevocable, non-exclusive, sublicensable, worldwide license covering that content in all formats and channels now known or later developed to use, copy, reproduce, store, translate, transmit, distribute, perform, prepare derivative works, publicly display, and display in connection with any name, username, voice, or likeness provided with it. If your creations contain personal data, you recognize NocNok’s legitimate interest in processing it under this license.

This broad license enables us to host content, provide and promote memberships, and enable community features like comments. You retain ownership; we are not buying or leasing your IP. We won’t exploit your creations beyond facilitating your configured memberships and offerings on NocNok.

Do not post content that infringes others’ rights. NocNok may remove content that violates our terms or policies, including these Terms of Use and Community Guidelines. We respond to compliant copyright notices and have a policy for terminating, in appropriate circumstances, accounts of repeat infringers. See our DMCA process in the Help Center.

Patrons may not use creators’ content in ways not authorized by the creator, including sharing with non-paying users.

Third-party apps and services

To summarize: You may authorize third-party apps/services to access your NocNok account, and you may authorize NocNok to access third-party apps/services. You can revoke access.

When you connect NocNok to other websites, apps, or services, you may be asked to grant access to information about your NocNok account or allow actions on your behalf. If you authorize, we will follow your instructions. See our Privacy Policy.

NocNok’s creations

To summarize: Bug reports and suggested improvements you provide are owned by NocNok. Creators may use our brand assets to promote their NocNok pages with proper use.

Our creations are protected by copyright, trademark, patent, and trade secret laws. Examples include text on <www.nocnok.com> and other NocNok sites, our iOS/Android apps, APIs, embeds, logo, and codebase. We grant creators a license to use our logo and brand assets to promote their NocNok pages per our Brand Guidelines. Do not otherwise use, reproduce, distribute, perform, publicly display, or create derivative works of our creations without written permission.

We welcome feedback—suggestions, comments, ideas, bug reports, and improvements. You agree such feedback is fully owned by us so we can improve NocNok.

Indemnity

To summarize: If we are sued because of your use or conduct on NocNok, you must help pay for it.

You will indemnify us from losses and liabilities, including legal fees, arising from these terms or your use of NocNok. We may exercise exclusive control over the defense of a covered claim; you will assist us. This obligation also applies to our subsidiaries, affiliates, officers, directors, employees, agents, and third-party service providers.

Warranty disclaimer

To summarize: We strive to keep NocNok working well, but it’s provided “as is.”

NocNok is provided “as is” without any warranty. Any warranties of merchantability, fitness for a particular purpose, non-infringement, or other warranties (express or implied) are disclaimed to the greatest extent permitted by law. These disclaimers also apply to our subsidiaries, affiliates, and third-party service providers.

Limitation of liability

To summarize: If you lose money from using NocNok, our liability is limited to what we earned through your use of NocNok.

To the maximum extent permitted by law, we are not liable for incidental, consequential, or punitive damages arising out of these terms or your use/attempted use of NocNok. Our liability for damages is limited to the amount of money we have earned through your use of NocNok. We are not liable for losses tied to unfulfilled offerings/benefits or conflicting contracts. “We” and “our” includes subsidiaries, affiliates, officers, directors, employees, agents, and third-party service providers.

Dispute resolution

To summarize: If you have an issue, talk to us. Disputes are resolved in San Francisco, California under California law.

Please contact us if you have an issue. Disputes arising from these terms or your use of NocNok will be resolved in federal or state courts located in San Francisco, California. Both parties consent to exclusive jurisdiction and venue there. California law (excluding conflict-of-law provisions) governs these terms, all NocNok policies, and disputes between you and NocNok.

Everything else

To summarize: These terms are the final word on NocNok’s policies. We’ll notify you of material changes.

These terms and referenced policies are the entire agreement between you and us, supersede all prior agreements, and do not create any partnership, joint venture, employer-employee, or franchiser-franchisee relationship. If any provision is unenforceable, it will be modified or severed to the extent necessary; remaining provisions stay in force. Failure to enforce a right does not waive future enforcement.

We may change these terms. If, in our sole discretion, a change is material, we will notify you before it takes effect. Continuing to use NocNok after a change means you accept the new terms or policies.

If you sign up to receive text messages, you agree to receive recurring automated promotional and personalized marketing texts (SMS/MMS) from us, including messages sent via an automatic dialing system, to the mobile number you provide or designate. Consent to automated marketing texts is not a condition of purchase. Message and data rates may apply. Frequency may vary. We may change the short code or phone number used. Not all devices or areas are supported. We, our service providers, and mobile carriers are not liable for delayed or undelivered messages.
